The National Commission on Research, Science and Technology (NCRST) is recruiting a Head: Company Secretariat and Legal Advice, Grade D2, for a five-year fixed-term contract in Windhoek, Namibia. The position provides leadership in company secretarial services, corporate governance, legal advisory support, regulatory compliance and institutional governance within a State-Owned Enterprise responsible for advancing research, science, technology and innovation in Namibia. The Head: Company Secretariat and Legal Advice will support NCRST's governance structures and provide professional legal guidance to management and relevant institutional stakeholders. The role requires strong knowledge of corporate governance, legal compliance, company secretarial administration, statutory requirements, legal documentation and governance processes. Key Responsibilities: - Lead and coordinate NCRST's company secretariat and legal advisory functions - Provide professional legal advice and guidance to management and relevant governance structures - Support effective corporate governance and institutional compliance - Advise on legislation, regulations, policies and other legal matters affecting NCRST - Support interpretation and implementation of applicable statutory and regulatory requirements - Coordinate company secretarial activities and maintain appropriate corporate governance records - Support preparation and administration of Board, committee and governance meetings where required - Coordinate preparation and maintenance of meeting agendas, minutes, resolutions and governance documentation - Monitor implementation and recording of governance decisions and resolutions - Review contracts, agreements, policies, memoranda and other legal documentation where required - Identify potential legal, governance and compliance risks and recommend appropriate corrective or preventative action - Maintain accurate statutory, governance and legal records - Support development and review of institutional policies and governance procedures - Provide guidance regarding legal obligations, regulatory requirements and organisational decision-making - Liaise with internal stakeholders and external legal or regulatory parties where necessary - Promote compliance with applicable Namibian legislation and good corporate-governance practices - Maintain confidentiality and professional integrity when handling sensitive legal and governance information - Contribute to strengthening accountability, transparency and sound institutional governance within NCRST Required Competencies: - Strong knowledge of company secretarial and corporate-governance practices - Legal advisory, legal research and legal interpretation capabilities - Ability to review and interpret legislation, regulations, policies, contracts and agreements - Understanding of statutory compliance and governance requirements - Strong legal drafting and professional writing skills - Excellent analytical and problem-solving abilities - Strong governance-record and document-management skills - Excellent written and verbal communication abilities - Strong attention to detail and accuracy - Ability to work effectively with executive management, governance structures and external stakeholders - High levels of professional integrity, discretion and confidentiality Position Details: - Grade: D2 - Contract duration: Five-year fixed-term contract - Location: Windhoek, Namibia - Enquiries: +264 (61) 431 7099
